Tasktra Terms of Service
These terms govern your access to and use of the Tasktra platform, creator workspace, admin tools, and all associated services. Please read them carefully before using the platform.
Acceptance of Terms
By accessing, browsing, or using the Tasktra website, creator workspace, admin tools, API services, or any part of the Tasktra platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in full. If you are using the platform on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these terms, and in that case, references to 'you' and 'your' in these terms refer to that entity. If you do not agree to all of these terms, you are prohibited from using the platform and must immediately discontinue access and use.
These Terms of Service, together with the Tasktra Privacy Policy and any campaign-specific rules or task briefs published through the platform, constitute the entire agreement between you and Tasktra governing your use of the platform. Additional terms may apply to specific features, services, or promotional campaigns, and will be presented alongside those features. In the event of a conflict between these Terms of Service and any additional terms, the additional terms govern for the specific feature or service they accompany.
Tasktra reserves the right to modify these terms at any time. Continued use of the platform after a revised version takes effect constitutes your acceptance of the revised terms. Material changes will be communicated through the platform or via the email address associated with your account. If you do not accept revised terms, you must stop using the platform and close your account.
Platform Description and Service Scope
Tasktra is an organic growth infrastructure and creator operations platform that connects brands and businesses with vetted creators for content creation, distribution, engagement, and promotion services. The platform enables clients to post campaign tasks, administrators to manage tasks and review creator work, and creators to apply for and claim assignments, submit deliverables, and receive payouts.
Specifically, Tasktra provides: campaign task creation and management for Reddit, Quora, TikTok, YouTube, Instagram, and X; creator application, vetting, tier assignment, and standing management; task routing, content review, approval, and rejection workflows; wallet management, payout calculations, and payout request processing; audit logging and administrative oversight for all platform operations; and creator-facing tools including the workspace, notifications, settings, and payout management interfaces.
Tasktra does not guarantee any specific number of tasks, payout amounts, campaign volume, or availability of work. Task and campaign availability depends entirely on client demand, creator eligibility, platform capacity, and Tasktra's operational capacity to support the workflow.
The platform is provided 'as is' and 'as available.' Tasktra does not warrant that the platform will be uninterrupted, error-free, secure, or free of known vulnerabilities at all times. Scheduled maintenance, unplanned outages, infrastructure failures, and force majeure events may result in periods of platform unavailability. Tasktra will make reasonable efforts to minimize disruption and communicate known outages to affected users.
Account Eligibility and Registration
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to create a Tasktra account or use the platform as a creator or client. By registering, you represent and warrant that you meet these eligibility requirements and that any information you provide during registration or the application process is accurate, complete, and not misleading.
Creator applicants are subject to a manual application and review process before receiving access to task claiming features. Passing the initial application review does not guarantee continued access to the platform. Tasktra may reassess creator eligibility at any time based on performance metrics, standing status, audit findings, or new information about account authenticity.
Administrators access the platform through authenticated admin accounts with role-based permissions. Admin access is provisioned and revoked at Tasktra's discretion. You may not share account credentials, transfer access to third parties, or operate multiple accounts to circumvent platform rules, task limits, or standing restrictions.
You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You must immediately notify Tasktra of any unauthorized access or security breach. Tasktra is not liable for any loss or damage arising from your failure to protect your credentials or notify Tasktra of unauthorized use.
Creator Conduct and Eligibility Standards
As a creator on the Tasktra platform, you agree to comply with all platform rules, campaign-specific task briefs, content guidelines, platform-specific rules of the social media networks where work is performed, and all applicable laws and regulations in your jurisdiction and the jurisdictions where your accounts are registered and where content is published.
You agree to use only accounts you legitimately own and control for all task submissions. You may not claim tasks using accounts that are borrowed, rented, shared, or operated by anyone other than you. You may not create, operate, or use multiple creator accounts to circumvent task claim limits, standing restrictions, application review decisions, or platform eligibility rules. Violation of this provision constitutes an immediate basis for account suspension, forfeiture of pending payouts, and permanent removal from the platform.
You agree to perform all assigned work in strict accordance with the task brief, content guidelines, account requirements, and submission instructions provided for each task. Deviating from instructions, substituting required content, omitting required disclosures, using unauthorized links or media, or misrepresenting the nature of the content in a submission may result in rejection, warning, payout reduction, suspension, or permanent removal. You acknowledge that submission guidelines exist to protect both Tasktra's clients and the integrity of the platforms where content is published, and that compliance is a condition of payment.
You agree to disclose to Tasktra any restrictions, suspensions, bans, or moderation actions affecting your accounts on any platform relevant to your creator profile, before claiming tasks and as soon as you become aware of them. Failure to disclose relevant restrictions that affect your ability to complete assigned work may result in warning, forfeiture of assignments, and account suspension.
You agree to maintain accurate and complete creator profile information and to update your profile within 48 hours of any material change to your platform handles, contact information, or payout preferences. Tasktra is not responsible for failed communications, missed deadlines, or forfeited payouts resulting from outdated contact or account information.
Repeated submission rejections, missed deadlines, low-quality submissions, compliance failures, or negative feedback may result in a reduced standing rating, probationary status, or suspension. Tasktra reserves the right to determine what constitutes acceptable quality and compliance standards and to apply consequences at its reasonable discretion based on the totality of available information.
Creator Payouts and Financial Terms
Creators are eligible for payouts only for task assignments that have been submitted, reviewed, and approved by a Tasktra administrator. Submission of content does not guarantee approval or payment. Approval decisions are final with respect to immediate payout eligibility, subject to the dispute process described below.
Payout amounts are determined by the task brief, campaign terms, and any applicable bonus structures published for specific tasks or campaigns. Tasktra processes payout requests according to the platform's payout schedule and available payout methods. The balance displayed in your Tasktra wallet is the operational record of your available funds and is not a guarantee of immediate withdrawability pending payout method verification and fraud review.
You may dispute a rejection or payout calculation by submitting a written dispute through the support channels within 14 calendar days of the decision. Disputes must include your account identifier, task or assignment identifier, and a specific explanation of the basis for your dispute. Tasktra will review disputes and issue a decision within 30 business days. Frivolous or bad-faith disputes may result in warnings or account consequences.
Tasktra reserves the right to withhold, reclaim, or set off payouts in the following circumstances: if a payout was made in error, whether due to administrative mistake, system error, or incorrect submission data; if the underlying submission is found to violate platform rules, applicable law, or third-party platform rules after payout has been processed; if the creator's account is suspended or terminated for a terms violation that predates the payout; if fraud, misrepresentation, or policy evasion is discovered before or after payout; or if a chargeback or fund recovery occurs from a client's payment for the associated campaign.
Welcome bonuses, promotional credits, and trial incentives are awarded at Tasktra's discretion and are subject to specific earning and withdrawal conditions disclosed at the time of award. Bonuses and promotional credits may be revoked if they were obtained through abuse, fraud, multiple account creation, or misrepresentation.
Client Campaign Responsibilities
Clients using the Tasktra platform to post campaigns represent and warrant that all campaign content, instructions, links, media, and target destinations comply with applicable law in the jurisdictions where campaigns will run, the rules and advertising policies of each social media platform where content will be published, and Tasktra's content and brand safety standards as communicated to clients through the platform or written agreements.
Clients acknowledge that Tasktra acts as an intermediary and platform operator, not as the publisher or originator of creator content. Clients are solely responsible for ensuring campaign instructions are lawful, accurate, and consistent with each platform's terms of service and community guidelines. Tasktra may decline, modify, pause, or remove any campaign that, in Tasktra's reasonable judgment, creates brand safety risk, legal liability, or risk of harm to creators or the platform.
Clients agree to pay all fees, campaign costs, and creator payouts associated with approved tasks and approved submissions within the agreed billing terms. Failure to pay may result in campaign suspension, withholding of creator payouts pending client payment resolution, and referral to collections for outstanding balances. Clients are responsible for any chargebacks, payment reversals, or fund recoveries associated with their campaigns and agree to reimburse Tasktra for any costs incurred in recovering funds from failed client payments.
Clients may not request creators to perform actions that violate social media platform rules, engage in deceptive marketing practices, misrepresent products or services, publish content without required disclosures, target protected categories, or promote illegal goods or services. Tasktra reserves the right to refuse processing of any campaign that violates these standards.
Prohibited Activities
The following activities are strictly prohibited on the Tasktra platform and constitute grounds for immediate account suspension, forfeiture of pending payouts, and permanent removal: creating or using multiple accounts to circumvent platform rules or restrictions; using borrowed, rented, shared, or fake accounts to claim or complete tasks; claiming tasks under a platform handle or account that has been suspended, banned, or otherwise restricted on the target platform; submitting content that violates the terms of service, community guidelines, or advertising policies of any platform where it will be published; engaging in any form of deceptive, fraudulent, or manipulative behavior including fake engagement, manufactured metrics, or misleading representations; circumventing or attempting to circumvent Tasktra's review process, standing system, or payout controls; accessing platform data, API endpoints, or user accounts through unauthorized means or for purposes not related to legitimate platform use; scraping, copying, or repurposing platform content, creator submissions, or administrative data without authorization; interfering with the operation, security, or integrity of the Tasktra platform or its underlying infrastructure; and using the platform to facilitate spam, harassment, defamation, intellectual property infringement, or other harmful content.
Tasktra reserves the right to investigate suspected prohibited activities and to cooperate with law enforcement, regulatory authorities, and affected third parties in connection with any suspected illegal conduct or policy violations.
Intellectual Property
As between you and Tasktra, Tasktra retains all right, title, and interest in and to the Tasktra platform, including all software, design, trademarks, trade names, logos, workflow systems, administrative tools, API designs, and documentation. You may not use, copy, reproduce, modify, distribute, display, or create derivative works of any Tasktra intellectual property without our prior written consent.
For creator submissions, the terms of ownership and license vary by campaign and are defined in the specific task brief and campaign agreement. In most cases, creators retain ownership of their submitted content and grant the client a license to use, publish, and distribute the content as specified in the task brief. You should review each task brief carefully to understand what rights you are granting and under what terms.
Clients retain ownership of all content, media, links, and materials they provide to Tasktra for campaign purposes. Clients represent that they have the necessary rights to authorize Tasktra and creators to use those materials for the purposes described in the campaign.
You may not upload, submit, or use any content, media, or materials in connection with the platform that you do not have the legal right to use, that infringe on the intellectual property rights of any third party, or that violate any applicable law. You indemnify Tasktra against all claims, damages, and expenses arising from your infringement of third-party intellectual property rights.
Third-Party Platforms and Services
Tasktra's platform may integrate with or enable access to third-party social media platforms, payment processors, communication tools, and other external services. Your use of any third-party platform or service is governed by that third party's own terms of service, privacy policy, and acceptable use policies. Tasktra does not control, endorse, or make any representations about third-party platforms, their content moderation decisions, their terms of service changes, or any consequences that may arise from your use of those platforms.
If your accounts on third-party platforms are suspended, banned, restricted, or otherwise affected by actions of those platforms, that is a matter between you and the relevant platform. Tasktra is not responsible for and does not warrant any specific outcome from your use of third-party platforms in connection with Tasktra campaigns.
Tasktra may change, add, or remove integrations with third-party services at its reasonable discretion and will provide notice of material changes to integrations where practicable.
Account Suspension and Termination
Tasktra may suspend or terminate your account, access to platform features, and eligibility for payouts immediately and without prior notice if we reasonably believe: your account is being used for prohibited activities; your account poses a security risk to the platform or other users; you have violated these Terms of Service, platform rules, or any campaign-specific rules; you have engaged in fraud, misrepresentation, or attempted circumvention of platform controls; you have failed to disclose relevant restrictions, bans, or account status changes on your platform profiles; your conduct poses a risk of harm to Tasktra, its clients, other creators, or the public; or you have failed to respond to platform communications for an extended period.
Upon suspension, your account access is restricted and pending tasks and payouts may be frozen pending review. Upon termination, all active assignments are forfeited, pending payout requests may be cancelled at Tasktra's discretion, and you are permanently prohibited from creating new accounts or accessing the platform. Termination does not relieve you of obligations that accrued before termination, including payment obligations, indemnification obligations, and restrictions on use of data obtained through the platform.
You may voluntarily close your account by submitting a closure request through the platform or support channels. Voluntary account closure is subject to completion of any in-progress tasks, resolution of any pending payout requests or disputes, and a review period of up to 30 days for any outstanding issues. After the review period and resolution of all pending matters, your data will be retained and deleted in accordance with the Data Retention section of the Privacy Policy.
Limitation of Liability
To the maximum extent permitted by applicable law, Tasktra, its officers, directors, employees, agents, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, loss of revenue, loss of earnings, loss of data, business interruption, cost of substitute services, or intangible losses, arising out of or related to your use of or inability to use the Tasktra platform, the actions or decisions of third parties, the performance or non-performance of tasks, the approval or rejection of submissions, changes to platform features, or any other matter related to the platform, whether based on contract, tort, strict liability, or any other legal theory, and whether or not Tasktra has been advised of the possibility of such damages.
Tasktra's total cumulative liability to you for any and all claims arising out of or related to the platform, these Terms of Service, or the services provided hereunder shall not exceed the total amount of fees or payouts actually received by Tasktra from you, or USD $100, whichever is greater. This limitation applies even if an exclusive remedy provided herein is found to have failed of its essential purpose.
Nothing in these Terms of Service excludes or limits Tasktra's liability for: death or personal injury caused by Tasktra's negligence; fraud or fraudulent misrepresentation; breach of obligations implied by applicable law that cannot be excluded; or any other liability that applicable law expressly prohibits from being limited or excluded.
Indemnification
You agree to indemnify, defend, and hold harmless Tasktra and its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, causes of action, suits, proceedings, losses, damages, liabilities, judgments, fines, penalties, charges, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or related to: your violation of these Terms of Service or any additional terms applicable to specific features; your violation of any applicable law, regulation, or third-party platform terms; your negligent, reckless, or wrongful conduct; your submission of content or materials that infringe, misappropriate, or violate the rights of any third party; any misrepresentation you make about the accounts, platforms, or qualifications you use to complete tasks; and any payout dispute, chargeback, or fund recovery arising from your submissions or account conduct.
Tasktra reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with that defense at your expense. You may not settle any claim without Tasktra's prior written consent if the settlement imposes any obligation on Tasktra, requires Tasktra to make any admission, or involves any relief other than your cessation of the conduct giving rise to the claim.
Dispute Resolution
Before initiating formal dispute resolution, you agree to attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms of Service or your use of the platform by contacting Tasktra through the support channels and providing a written description of your dispute. Tasktra will attempt to respond within 14 business days. If the dispute cannot be resolved informally within 30 days of the response, either party may proceed with formal dispute resolution as described below.
For disputes involving amounts under USD $500, the dispute shall be resolved by binding arbitration administered by a recognized arbitration provider in the jurisdiction where Tasktra's registered office is located, under its applicable rules. For disputes involving amounts of USD $500 or more, either party may elect arbitration or litigation in the courts identified in the Governing Law section.
You acknowledge and agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class action, collective action, or representative proceeding. You waive any right to participate in a class action lawsuit, class-wide arbitration, or any proceeding where you act or purport to act in a representative capacity on behalf of any other person.
Notwithstanding the foregoing, Tasktra may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or platform integrity without first following the informal dispute resolution process.
Governing Law and Jurisdiction
These Terms of Service and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the jurisdiction where Tasktra's registered office is located, without regard to its conflict of laws principles.
Subject to the dispute resolution provisions above, you consent to the exclusive jurisdiction of the state and federal courts located in the jurisdiction where Tasktra's registered office is located for any action or proceeding arising out of or relating to these Terms of Service or the platform.
If you are accessing or using the platform from a jurisdiction with laws that conflict with these Terms of Service or that provide you greater rights than those described herein, nothing in these terms shall be construed to waive those rights, and Tasktra makes no representation that the platform or these terms comply with every local law in every jurisdiction where creators or clients operate.
General Provisions
Assignment. You may not assign or transfer your rights or obligations under these Terms of Service without Tasktra's prior written consent. Tasktra may assign or transfer its rights and obligations under these terms to a successor entity in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets. Any attempted assignment in violation of this provision is void.
Severability. If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver. The failure of Tasktra to enforce any right or provision in these Terms of Service shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms of Service will be effective only if in writing and signed by Tasktra.
Entire Agreement. These Terms of Service, together with the Privacy Policy and any campaign-specific rules or additional terms published through the platform, constitute the entire agreement between you and Tasktra regarding your use of the platform and supersede all prior agreements, representations, and understandings, whether written or oral.
Force Majeure. Tasktra shall not be liable for any failure or delay in performing its obligations under these Terms of Service where such failure or delay results from causes beyond Tasktra's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials.
Relationship of Parties. Nothing in these Terms of Service creates a joint venture, partnership, employment relationship, franchise, or agency relationship between you and Tasktra. You have no authority to bind Tasktra or incur any obligation on its behalf.
